These terms cover use of the Seamroom platform. They are between Seamroom Ltd and the business using it. A boutique's own agreement with its clients is separate, and nothing here changes it.
Access to Seamroom for the business named on the account, for as long as the subscription runs. We keep it available, back it up, and fix it when it breaks. We do not guarantee it is never unavailable, and we will tell you when it is.
Everything you put into Seamroom remains yours. We hold it to provide the service and for nothing else. We do not sell it, do not share it with other boutiques, and do not use one business's data to benefit another. You can export all of it at any time, in a usable form, including on the day you leave.
Subscriptions are billed per location, monthly or annually in advance. Prices are agreed before you start and we give at least 30 days' notice of any change. Design partners in the first group pay nothing, for as long as they use it.
Where you take payments from your own clients through a connected payment provider, that money moves between your client and you. It does not pass through us, and your agreement with that provider governs it.
You can cancel at any time, effective at the end of your current period. Export your data first, or ask us and we will produce it. We keep your data for 30 days after cancellation so you can change your mind, then delete it, except for records we are legally required to keep.
We may suspend an account that is being used unlawfully, that puts other users at risk, or that is materially in arrears — and we will tell you why before we do.
We aim to keep Seamroom running and to tell you promptly when it is not. To the extent the law allows, our liability in any twelve-month period is limited to what you paid us in that period. We do not exclude liability for death, personal injury, fraud, or anything else that cannot lawfully be excluded.
The platform, its software and its content remain ours. Your data, your brand and your business's own material remain yours. Neither of us gains rights in the other's.
If these terms change materially we will tell you at least 30 days beforehand, and you may cancel before the change takes effect.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
